Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Danny Aziz, a sole proprietor doing business as Placecard (“Placecard,” “we,” “us,” or “our”), governing your use of the Placecard web application and website at placecard.studio (the “Service”).

Placecard is a tool for planning wedding seating charts: you upload a guest list and arrange guests at tables on a visual canvas.

1. Acceptance of these Terms

By creating an account, making a purchase, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of someone else (for example, as a wedding planner for a couple), you confirm you are authorized to accept these Terms on their behalf.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service. By using the Service, you represent that you meet this requirement and that you are able to enter into a binding contract.

3. Description of the Service

Placecard lets you:

  • Upload and manage a wedding guest list;
  • Arrange guests at tables on a visual canvas;
  • On the paid tier: add unlimited guests and tables, import guests via CSV, create share links, and export to PDF.

We may add, change, or remove features over time. We do not guarantee that the Service will always be available or error-free.

4. Accounts

To use most features you must create an account using your email address. Authentication is provided through Supabase.

  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You agree to provide accurate information and to keep it up to date.
  • Notify us promptly at [email protected] if you suspect unauthorized use of your account.

5. Plans, payment, and refunds

Placecard uses a freemium model:

  • Free tier: up to 30 guests and 3 tables, at no cost.
  • Paid unlock: a one-time payment of $39 per wedding unlocks unlimited guests and tables, CSV import, share links, and PDF export.

5.1 No subscription

The paid unlock is a one-time charge per wedding. It is not a subscription and does not auto-renew. The unlock applies to the specific wedding/workspace you purchase it for.

5.2 Payment processing

Payments are processed by Stripe. By purchasing, you agree to Stripe's terms. We do not store your full card details (see the Privacy Policy).

5.3 Refunds

Because the paid unlock is a one-time digital purchase, all sales are final and non-refundable, except where required by law or where we choose to grant a refund at our discretion. As a courtesy, we will generally honor a refund request made within 14 days of purchase where the paid features have not been substantially used, and we will always correct genuine billing errors.

5.4 Taxes and pricing changes

Prices are stated in USD and may exclude applicable taxes. We may change pricing for future purchases; changes do not affect unlocks you have already paid for.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose;
  • Upload data you have no right to provide, or violate anyone's privacy rights;
  • Upload malicious code, or attempt to disrupt, overload, or gain unauthorized access to the Service;
  • Reverse engineer, scrape, or copy the Service except as allowed by law;
  • Resell or commercially exploit the Service without our permission;
  • Use the Service to send spam or unsolicited messages.

We may suspend or terminate accounts that violate these rules.

7. Your content and guest data

“User Content” means everything you upload or create in the Service, including guest lists, guest details, and seating charts.

  • You own your User Content. You grant us a limited license to host, process, and display it solely to provide the Service to you.
  • Much of your User Content is personal data about other people (your wedding guests), which may include names, email addresses, RSVP status, plus-ones, and dietary, allergy, or other health-related preferences.
  • You are responsible for this data. You represent and warrant that you have the right and a lawful basis to provide it to us and to have us process it on your behalf, and that you have obtained any consents required — particularly for sensitive information such as allergy or health details.
  • You are responsible for how you use share links. Anyone with a link can view the seating chart and the guest information on it. Share links only with people you trust.
  • We process guest data as your processor, on your instructions, as described in the Privacy Policy. You indemnify us for claims arising from your User Content (Section 12).

8. Intellectual property

The Service, including its software, design, branding, and content (excluding your User Content), is owned by Danny Aziz (doing business as Placecard) and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or professional wedding-planning purposes, subject to these Terms. You may not use our name, logo, or branding without permission.

9. Third-party services

The Service relies on third-party providers, including Supabase (database and auth), Stripe (payments), Loops (email), Electric (sync), PostHog (analytics), and Meta and Google (advertising and conversion tracking), as well as our hosting provider. Your use of the Service may be subject to those providers' terms. We are not responsible for third-party services, and their availability or behavior is outside our control.

10. Disclaimers of warranty

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that data will never be lost. You use the Service at your own risk. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law:

  • We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to the Service.
  • Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD $50.

These limits apply even if a remedy fails its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Danny Aziz (doing business as Placecard) and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content, including guest and sensitive data; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party (including your guests).

13. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service.
  • Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive. We may delete your data after termination as described in the Privacy Policy. A one-time paid unlock is non-transferable and, except as stated in Section 5.3, non-refundable on termination.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the courts located in the State of New York, United States, unless applicable law requires otherwise or the arbitration agreement below applies.

15.1 Arbitration and class-action waiver

Except for disputes that qualify for small-claims court, you and we agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding arbitration on an individual basis, administered by a recognized arbitration provider under its consumer arbitration rules, seated in the State of New York. You and we waive the right to a jury trial and the right to bring or participate in any class, collective, or representative action. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms; if you opt out, only the courts clause above applies. This Section survives termination of these Terms.

16. Miscellaneous

  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
  • Severability: If any provision is found unenforceable, the rest remains in effect.
  • No waiver: Our failure to enforce a provision is not a waiver of it.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
